Capivante provides administrative organization services for small credit cooperatives in Paraguay. Our services include:

• Digitization and organization of assembly minutes
• Structuring of member registration records
• Creation of filing systems for cooperative documents
• Organization of documentation for INCOOP regulatory reports
• Training of cooperative staff on documentation systems

We do not provide financial auditing, accounting, balance sheet preparation, or financial advisory services.

3. Use of Website

Clients engaging our services agree to:

• Grant necessary access to documents and facilities
• Designate staff members to coordinate with our team
• Review and approve proposed organizational systems
• Participate in training sessions as scheduled

4.3 Our Responsibilities

Capivante agrees to:

• Provide services with reasonable skill and care
• Maintain confidentiality of cooperative information
• Deliver services according to agreed timelines
• Train cooperative staff on implemented systems
• Provide follow-up support as outlined in service agreements

5. Fees and Payment

Service fees will be specified in individual service agreements. Payment terms, schedules, and methods will be outlined in those agreements. Clients agree to pay all fees according to the agreed terms.

6. Confidentiality

We understand that cooperative documents contain sensitive information. We agree to:

• Maintain strict confidentiality of all cooperative information
• Use information only for purposes of providing agreed services
• Implement appropriate security measures to protect information
• Not disclose information to third parties without authorization
• Return or securely destroy documents upon project completion

7. Limitation of Liability

To the fullest extent permitted by Paraguayan law:

• Capivante provides services on an "as is" basis
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service
• We are not responsible for cooperative decisions made based on organized documentation
• We do not guarantee regulatory approval or compliance outcomes

8. Disclaimers

Our services are limited to administrative organization. We specifically disclaim:

• Responsibility for financial accuracy of cooperative records
• Provision of legal, financial, or regulatory advice
• Guarantees regarding audit or inspection outcomes
• Liability for cooperative operational decisions

Cooperatives should consult with qualified accountants, auditors, and legal advisors for matters outside our scope of service.

9. Termination

Either party may terminate a service agreement according to terms specified in that agreement. Upon termination:

• Fees for completed work remain due
• We will return all cooperative documents and materials
• Confidentiality obligations continue
• Both parties release each other from future obligations except those that survive termination

10. Indemnification

Clients agree to indemnify and hold Capivante harmless from claims arising from:

• Client's breach of these terms or service agreements
• Client's violation of applicable laws or regulations
• Inaccurate information provided by the client
• Client's use of organized documentation

11. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of Paraguay. Any disputes arising from these terms or our services shall be resolved in the courts of Paraguay with jurisdiction over Concepción.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of modified terms.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms of Service, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and Capivante regarding use of our website and services.
